1. Who we are

This website and platform are operated by Penthropic Ltd, trading as Penthropic Security, a company registered in England & Wales ("Penthropic", "we", "us"). In these terms, "you" means the person or organisation using our website, tools, or services.

2. Acceptance of these terms

By accessing our website, using our free tools, or registering for the client portal or platform, you agree to these terms. If you do not agree, please do not use the services. Where you use the services on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.

Paid engagements are additionally governed by the specific statement of work, proposal, or services agreement we sign with you. Where those terms conflict with these, the signed agreement prevails.

3. Acceptable use

You agree not to:

• Use the services for any unlawful, fraudulent, or harmful purpose;
• Attempt to gain unauthorised access to our systems, other tenants' data, or any account that is not yours;
• Probe, scan, or test the vulnerability of our infrastructure without our prior written permission;
• Interfere with or disrupt the integrity or performance of the services;
• Submit data you do not have the right to share, or content that is unlawful or infringing;
• Resell, sublicense, or misrepresent the services as your own without authorisation.

We may suspend or terminate access where we reasonably believe these terms have been breached.

4. Free tools & assessments

We offer free online tools, such as our cyber risk snapshot and ISO 27001 readiness assessment, for general informational purposes. These tools provide indicative guidance only. They are not a substitute for a formal audit, certification, legal advice, or a professional engagement, and outputs are provided "as is" without warranty. You remain responsible for decisions you make based on them.

5. Accounts, portal & platform

If you are given access to the client portal or platform, you are responsible for keeping your credentials secure and for activity under your account. You must notify us promptly of any suspected unauthorised use. We may modify, suspend, or discontinue features of the platform, and will give reasonable notice of material changes where we can.

6. Advisory engagements

Consulting and managed-service engagements are scoped, priced, and delivered under a separate written agreement. Nothing on this website constitutes a binding quote or an offer capable of acceptance; pricing shown is indicative and subject to scoping.

7. Intellectual property

The website, platform, tools, branding, and all associated content are owned by Penthropic or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the services for their intended purpose. You retain ownership of the data and materials you provide to us; deliverables produced under a paid engagement are governed by the relevant signed agreement.

8. No warranties on free services

Our website and free tools are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, express or implied, including as to accuracy, fitness for a particular purpose, uninterrupted availability, or that the services will be error-free or secure. This section does not apply to obligations expressly set out in a signed paid engagement agreement.

9. Limitation of liability

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, and to the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, or goodwill, arising from your use of the website or free tools;
• Our total aggregate liability in connection with the website and free tools is limited to £100;
• Liability arising under a paid engagement is governed by the liability cap set out in the relevant signed agreement.

10. Governing law & jurisdiction

These terms, and any dispute arising out of or in connection with them, are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction, save that we may bring proceedings to protect our rights in any competent jurisdiction.
